CaptiFi Terms and Conditions

These Terms and Conditions constitute a legally binding agreement between you and CaptiFi governing access to and use of the Services worldwide.

1. Definitions and Interpretation

In these Terms:

"CaptiFi", "we", "us", or "our" means CaptiFi, operating from Bristol, United Kingdom.

"Customer", "you", or "your" means any individual, business, organisation, or legal entity that accesses or uses the Services.

"Services" means CaptiFi's guest WiFi marketing platform, software, dashboards, APIs, integrations, documentation, and related services.

"Hardware" means any physical equipment supplied or loaned by CaptiFi.

"End User" means any guest, visitor, or third party who accesses WiFi through the Services.

"Personal Data" has the meaning given under applicable data protection laws.

Headings are for convenience only and do not affect interpretation.

2. Agreement to Terms

By accessing, installing, deploying, or using the Services or Hardware, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not use the Services.

If you are acting on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

3. Scope of Services

CaptiFi provides a hosted guest WiFi marketing and access management platform offered globally.

The Services may include data capture tools, captive portals, analytics, marketing automation, integrations, and network access controls.

We may modify, enhance, suspend, or discontinue features provided that the core functionality of the subscribed plan is not materially degraded.

CaptiFi does not provide internet connectivity itself unless explicitly agreed in writing.

4. Subscription Plans and Fees

Subscriptions are offered on a monthly or annual basis as described on our website or sales materials.

All fees are payable in advance and non refundable except where required by mandatory law.

Prices are listed in GBP unless otherwise stated.

You are responsible for all local taxes, duties, levies, or withholding obligations imposed by authorities outside the United Kingdom.

5. Free Trial

Free trials require a valid payment method.

Unless cancelled before the trial ends, the Subscription will automatically convert to a paid plan and charges will apply.

You may cancel at any time during the trial without charge.

6. Hardware Provision and International Use

Hardware supplied by CaptiFi remains CaptiFi property at all times.

A refundable authorisation hold of £60 per unit is placed where applicable.

You are responsible for import duties, customs clearance, regulatory approvals, and compliance with local telecommunications or radio regulations.

Risk of loss passes to you upon delivery.

Hardware must be returned in working condition upon cancellation to release the refundable hold.

7. Payments and Billing Authorisation

Payments are processed via Stripe or other third party payment processors.

You authorise CaptiFi to charge your payment method on a recurring basis.

Currency conversion fees, foreign transaction fees, or bank charges are your responsibility.

Failure to pay may result in suspension or termination after a grace period.

8. Cancellation and Termination

You may cancel at any time through your account dashboard.

Cancellation takes effect at the end of the current billing period.

CaptiFi may suspend or terminate access immediately for breach, misuse, non payment, or legal or regulatory risk.

Upon termination, your right to use the Services ceases immediately.

9. Data Protection and Privacy Compliance

CaptiFi acts solely as a data processor. You act as the data controller.

You are solely responsible for determining lawful bases for processing Personal Data and complying with all applicable data protection, privacy, and electronic communications laws worldwide, including but not limited to:

  • GDPR and UK GDPR
  • CCPA and CPRA
  • PIPEDA
  • LGPD
  • PDPA
  • ePrivacy laws and similar frameworks

You are responsible for obtaining valid consent, issuing privacy notices, and handling data subject requests.

You authorise CaptiFi to process and store data in the United Kingdom, European Economic Area, and other jurisdictions where infrastructure or subprocessors operate, subject to appropriate safeguards.

CaptiFi does not provide legal advice and does not assume responsibility for your compliance.

10. Acceptable Use

You must not use the Services to:

  • Violate any law or regulation
  • Send unsolicited or unlawful marketing
  • Misrepresent consent or data usage
  • Distribute malware or harmful code
  • Interfere with networks or security
  • Infringe intellectual property rights
  • Resell or sublicense without authorisation

CaptiFi may suspend access to protect systems, users, or legal obligations.

11. Service Availability

Services are provided on an "as is" and "as available" basis.

We do not guarantee uninterrupted or error free operation.

Maintenance, outages, and third party dependencies may impact availability.

12. Intellectual Property Rights

All intellectual property in the Services remains the property of CaptiFi or its licensors.

You retain ownership of your data.

A limited, non exclusive, non transferable licence is granted to use the Services during an active Subscription.

13. Confidentiality

Each party agrees to keep confidential information disclosed under this agreement confidential and to use it solely for performance of the Services.

This obligation survives termination.

14. Limitation of Liability

To the maximum extent permitted by law:

CaptiFi's total liability arising out of or relating to the Services is limited to the fees paid by you in the twelve months preceding the claim.

CaptiFi is not liable for indirect, incidental, consequential, special, or economic losses, including loss of profits, revenue, data, or business opportunity.

Nothing excludes liability for fraud or death or personal injury caused by negligence.

15. Indemnification

You agree to indemnify and hold harmless CaptiFi from claims, damages, penalties, fines, and costs arising from:

  • Your use of the Services
  • Your marketing practices
  • Data protection violations
  • Failure to obtain consent
  • Breach of these Terms or applicable law

16. Export Controls and Sanctions

You represent that you are not subject to sanctions or export restrictions imposed by the United Kingdom, European Union, United States, or other relevant authorities.

You agree not to use the Services in violation of export control laws.

17. Force Majeure

Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, labour disputes, internet failures, government actions, or utility outages.

18. Assignment

You may not assign or transfer these Terms without prior written consent.

CaptiFi may assign these Terms as part of a merger, acquisition, or asset sale.

19. Severability

If any provision is held unenforceable, the remaining provisions remain in full force.

20. Waiver

Failure to enforce any right does not constitute a waiver of that right.

21. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales have exclusive jurisdiction, except where mandatory local consumer protection laws require otherwise.

22. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior agreements or representations.
